The NYS Public Authority Accountability Act was enacted in 2005 this Act draws on select principles of the Sarbanes-Oxley Act (S-OX) and Rule 404 of the SEC, and makes those principles applicable to the governance of public authorities in NYS. Among other things, it imposes specific controls by statute; there is the possibility of some of its provisions being applied to state agencies in certain respects, either by legislation or executive order; and, the Act also made the NYS Office of the Inspector General a creature of statute. Provided by email are items that must be used and cited, including the Act itself, S-OX Rule 404, a related report by the NYS Comptroller, and a report by the AG and the State IG called for by the Governor which addressed the sale of certain land rights bordering the Erie Canal. These items must be cited ALONG with 3 other outside sources.
With this, please present your analysis of the following topics. This list is not intended to be exhaustive list nor to fix an agenda or priority.Very broadly you should address: Where led to this law’s passage? What was it intended to do? How does it address the concerns of the legislature. And, is it likely to succeed? The following are only the most obvious topics to be considered.
1. The circumstances and conduct that prompted its enactment.
2. A synthesis of the Act’s particular provisions.
3. A synthesis of the internal controls mandated by the Act.
4. Any enhanced powers created by the Act.
5. Your assessment of the effectiveness of the Act’s provisions and the proposed controls.
6. Whether you would recommend that its provisions should be extended to other state
7. Other aspects of the legislation, or related legislation, that you feel warrants analysis. Any opinions expressed have to be backed up and logically flow from cited authorities and argument.
