3. Examine the most recent 10-K for the company. How large is the company (e.g.,total assets, total revenues, maybe employees, number of divisions)? Was the company profitable last year? What explanation does management provide for why the company performed well (or did not perform well last year (se the MD&A)? Do you find the MD&A useful? Use our SEC handout to locate the Item number of the Form 10-K that relates to the audited annual financial statements.

4. What is the compensation of the top executives of this company? If the information is not in the 10-K, is it in the Proxy (Form 14-DEF)?

5. Does the SEC provide any information on its website for users offinancial statements to understand the role of the SEC in financial reporting? Cut and paste a short excerpt that explains the SEC''s role into this exercise. Cite the source properly.

6. What financial information does the company make available on their own website? Is this information adequate for making an investment decision? Are the audited financial statements available through the Internet? If so, print the Balance Sheet. Is it any easier to get the information from www.lexis-nexis.corn/universe (note: you may have to enter this database through www.emich.edu then Library because EMU subscribes to the database.

7. What is the price of the stock ofthis company today? Compare two sources of stock price information and describe which one you prefer and why?


8. Describe the most recent action the SEC took with respect to Independence and CPAs. What was the issue the SEC was trying to address witht he new rules?

Essay Instructions: Our fourth threaded discussion deals with a Security Exchange Commission (SEC) Accounting and Auditing Enforecement Action issued on January 20, 2011 against a Florida CPA firm, Dohan + Company, in regards to their audit of the 2007 financial statements of a company known as International Commercial Television, Inc?s (ICTV). As described in the SEC?s complaint, which is linked here, ICTV ?improperly recognized revenue and incorrectly recorded product returns, resulting in a material overstatement of revenue and net income?. The SEC felt that the 2007 financial statements of ICTV were not in accordance with GAAP.
